No Purchase Necessary to enter or win. VOID WHERE PROHIBITED BY LAW. THIS CONTEST IS IN NO WAY SPONSORED, ENDORSED OR ADMINISTERED BY, OR ASSOCIATED WITH TWITTER (“Twitter”). A Twitter ACCOUNT AND INTERNET ACCESS ARE REQUIRED FOR ENTRY.

BY ENTERING THE CONTEST, YOU (“ENTRANT” OR “YOU”) MUST AGREE TO THESE OFFICIAL RULES:

SPONSOR: The sponsor of this Contest is Citizen Optimum LP (hereafter referred to as the “Contest Sponsor”).

ELIGIBILITY: To enter the Contest you must be a resident of Canada who has reached the age of majority in his/her province or territory of residence at the time of registration and/or entry. Employees, officers and directors (and immediate family members and members of the same household of such persons, including common law spouses) of Citizen Optimum LP, and their respective affiliates, agents, advertising or promotional agencies, suppliers of prizes and the independent contest organization are not eligible to enter the Contest. The Sponsors shall have the right at any time to require proof of identity and/or eligibility to participate in the Contest. Failure to provide such proof may result in disqualification. All personal and other information requested by and supplied to the Sponsors for the purpose of the Contest must be truthful, complete, accurate and in no way misleading. The Sponsors reserve the right, in its sole discretion to disqualify any entrant, should such an entrant at any stage supply untruthful, incomplete, inaccurate or misleading personal details and/or information.

CONTEST PERIODS: The Contest commences at 8:00pm EDT on March 24th, 2015 and will end at 9:00pm EDT on March 24, 2015 (the “Contest Period”). All entries must be received by 8:59:59pm EDT on March 24, 2015 (the “Contest Closing Date”).

HOW TO ENTER: No purchase necessary. Visit www.listentolena.com to RSVP to the #FamilyTravelCA Twitter Party. Tweet during the contest period outlined above. Eligible tweets (“Submissions”) must also include the hashtag #FamilyTravelCA. Each submission from an entrant who has RSVP’d, and meets these requirements, constitutes a contest entry.

ENTRY CONTENT RESTRICTIONS (collectively, the “Guidelines and Restrictions”).

Tweet Content Restrictions:

The Tweet Submission must not contain material that violates or infringes another’s rights, including but not limited to privacy, publicity or intellectual property rights, or that constitutes copyright infringement;

The Tweet Submission must not disparage the Sponsors, Administrator or any other person or party affiliated with the Contest;

The Tweet Submission must not contain brand names, tradenames, trademarks or any other third party identifying marks, other than those owned by the Sponsors, which entrant has a limited license to use to incorporate in his/her Submission in this Contest;

The Tweet Submission must not contain images or artwork not created by entrant;

The Tweet Submission must not refer to third parties without their express permission;

The Tweet Submission must not contain material that is inappropriate, indecent, obscene, hateful, tortuous, defamatory, slanderous or libelous, or in the sole discretion of the Sponsor not in good taste;

The Tweet Submission must not contain material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age; and the Tweet Submission must not contain material that is unlawful, in violation of or contrary to the laws or regulations in any province where Submission is created.

Entry into the Contest constitutes an entrant’s consent to give the Sponsors a royalty free, irrevocable, perpetual, non-exclusive license to use, reproduce, modify, publish, create derivative works from, and display such submissions in whole or in part, on a worldwide basis, and to incorporate it into other works, in any form, media or technology now known or later developed, including for promotional or marketing purposes. Without limiting the foregoing, entrants waive all moral rights and assign all copyright in their Submission, and covenant, represent and warrant that the contest entrant has the right to refer to any third party referred to in the Submissions.

Prize must be accepted as awarded, is not transferable or convertible to cash. The sponsors reserve the right to substitute a prize or prize component for one of equal or greater value for any reason.

CONTEST DRAWS: A random draw for the Prize outlined above will be conducted in Toronto, Ontario on or about March 24, 2015 from amongst all eligible online entries received. Odds of winning depend on the total number of eligible entries received. In order to win, the selected entrants may be asked to correctly answer a time-limited mathematical skill-testing question to be administered by e-mail. Selected entrants may also be asked to complete a Declaration and Release and return same to the specified address and within the specified time period that confirms each selected entrant’s (a) Eligibility for the Contest and compliance with these Contest rules; (b) acceptance of the Prize as offered; (c) release of each of the Released Parties and Twitter, from any and all liability for any loss, harm, damages, cost or expense arising out of participation in the Contest, participation in any Contest related activity or the acceptance, use, or misuse of any Prize, including but not limited to costs, injuries, losses related to personal injuries, death, damage to, loss or destruction of property, rights of publicity or privacy, defamation, or portrayal in a false light, or from any and all claims of third parties arising therefrom; and grant to the Sponsor the unrestricted right, in the Sponsors’ collective or individual discretion, to produce, reproduce, publish, broadcast, communicate by telecommunication, exhibit, distribute, adapt, modify, and otherwise use or re-use the Winner’s name, photograph, address (City and province), likeness, voice, Submission, and biography, in any and all media now known or hereafter devised, in connection with the Contest and the promotion and exploitation thereof or for other purposes, without any notice, payment, notification, permission or other consideration, whatsoever . The executed Release must be returned within the specified time period or the selected entrant will be disqualified and the Prize forfeited, without any liability to Sponsors whatsoever.

Potential winners will be notified on Twitter by @Listen2Lena once their name has been drawn from eligible entries. If the potential winner cannot be contacted, or does not comply with these Official Rules, or the prize is returned as undeliverable, the potential winner forfeits the prize. If the potential winner is disqualified for any reason, the prize may be awarded to an alternate prize winner selected at random by Sponsor, if any, in Sponsor’s sole discretion and without any liability to such disqualified potential winner. Only two alternate winners may be determined, after which the applicable prize will remain unawarded. Without limiting the generality of these Official Rules, winner shall irrevocably grant, transfer, convey and assign to Sponsor the entirety of the rights in and to the Submission, including moral rights, and all renewals and extensions of copyright, and the right to secure copyright registrations thereto in perpetuity including, without limitation, the rights to use the Submission for any and all purposes in any and all media whether now known or hereafter developed, on a worldwide basis, in perpetuity. The winner accepts and acknowledges that Sponsor shall not be obligated to use the Submission and that Sponsor in its sole discretion shall have the right to refrain from using the Submission. Sponsor shall not incur any liability whatsoever to the extent Sponsor chooses to refrain from any exploitation of its rights hereunder. Winner will indemnify Sponsor, Released Parties and any licensee of Sponsor against all claims, damages, liabilities, and expenses (including reasonable counsel fees and legal expenses) arising out of any breach of these terms. Decisions by the Sponsor will be final. Sponsor shall have no responsibility for any printing, distribution, production, prizing, or similar types of errors.

GENERAL: This Contest governed by the laws of Ontario without resort to conflict of law provisions. By entering the Contest, participants agree to be bound by these official rules and by the decisions of the independent administration and judging organization, which shall be final and binding with respect to all matters relating to this Contest. All entries become the property of the Sponsor and none will be returned.

The Sponsor reserves the right in its sole discretion, to terminate, suspend or amend contest without liability subject to applicable laws. If for any reason, the online portion of this Contest is not capable of being completed as planned including, but not limited to computer virus, bugs, tampering, technical failures or other causes beyond the control of the Sponsor, the Sponsor reserves the right, in its sole discretion, to cancel or suspend this Contest or to modify the Contest rules. Any attempt to deliberately damage any website or to undermine the legitimate operation of this Contest is a violation of criminal and civil laws, and should such an attempt be made, Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution.

#Danier Twitter Party Rules

The “#Danier Twitter Party” Contest (the “Contest”) begins on November 14, 2018 at 8:00 PM Eastern Time (“ET”) and ends on November 14, 2018 at 9:00 PM ET (the “Contest Period”).

1. ELIGIBILITY:
Contest is open to all legal residents of Canada who have reached the legal age of majority in their province/territory of residence at the time of entry, except employees, representatives or agents (and those with whom such persons are domiciled or directly related) of Danier (“Prize Supplier” and “Sponsor”), their parent companies, subsidiaries, affiliates, prize suppliers, advertising/promotion agencies and any entity involved in the development, production, implementation, administration or fulfillment of the Contest (collectively, the “Contest Parties”). “Directly related” shall mean father, mother, brother, sister, children, wife, husband or common law partner if such employee, representative or agent of a Contest Party.

Completing and Submitting Your Entry

Internet access and an account with Twitter (the “Account”) are required to complete your entry into the Contest.

Entrants must participate in the #Danier Twitter Party on November 14, 2018 between 8:00 p.m. – 9:00 p.m. EST by using the #Danier hashtag in order to be eligible for the draws.

Upon participating, Twitter Draw will randomly select eligible prizing winners within the contest period.

The Contest is in no way sponsored, endorsed or administered by, or associated with Twitter AND/OR any third party service provider. Danier is the sole Sponsor and Prize Supplier. You understand that you are providing your personal information to the Sponsor and not to Twitter. The personal information you are providing will only be used and processed by the Sponsor and by any of Danier’s authorized third party service providers for purposes of administering or operating this Contest and the Website, the whole in accordance with Danier’s and any authorized third party service provider’s respective privacy policies subject to the uses you may have authorized in relation to your Entry. Twitter AND/OR any third party service provider is completely released of all liability by each participant in this Contest. Any questions, comments or complaints regarding the Contest must be directed to Danier. and not Twitter AND/OR any third party service provider.

Limitation of Liability: By entering you agree to release and hold harmless Danier and its subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers and directors from any liability, illness, injury, death, loss, litigation, claim or damage that may occur, directly or indirectly, whether caused by negligence or not, from (i) such entrant’s participation in the Giveaway and/or his/her acceptance, possession, use, or misuse of any prize or any portion thereof, (ii) technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware or software; (iii) the unavailability or inaccessibility of any transmissions or telephone or Internet service; (iv) unauthorized human intervention in any part of the entry process or the Giveaway; (v) electronic or human error which may occur in the administration of the Giveaway or the processing of entries.

Your Entry must comply with these Rules and with the Twitter AND/OR any third party service provider terms and conditions of use, contract or other applicable guidelines (collectively, the “Third Party Terms”). Any Entry (in whole or in part) that does not follow these Rules and/or the Third Party Terms, or that is otherwise deemed unacceptable by the Sponsor in its sole and absolute discretion, will be discarded and your Entry will be deemed ineligible. Twitter AND/OR any third party service provider shall collectively be referred to as the “Third Party Contest Suppliers”.

Additional Entry Requirements

Each entrant is responsible for uploading/transmitting his/her Entry. The Entry must: i) be developed by the entrant or be fully owned by the entrant; ii) be an original work; iii) not have been previously published or be the subject of an agreement with a third party; iv) not have been considered for or won previous awards; v) not infringe upon the copyrights, trademarks, rights of privacy, rights of publicity or other intellectual property or other rights of any person or entity; and vi) have been created in a legal and safe manner.

The Entry must not:

a) contain defamatory words/statements (including words or symbols that are widely considered offensive to individuals of a certain race, ethnicity, religion, sexual orientation, or socioeconomic group);
b) threaten any person, place, business, or group;
c) disparage persons or organizations associated with the Contest Parties;
d) invade privacy or other rights of any person, firm, or entity;
e) contain material that is in any way unlawful, in violation of or contrary to all applicable federal, provincial or municipal laws and regulations where the submission is created;
f) contain material that is inappropriate, indecent (including but not limited to nudity or pornography), profane, obscene, hateful, tortuous, slanderous or libelous; and
g) refer to any person or organization without their prior express written permission.

By participating in this Contest and by submitting an Entry, you hereby grant an exclusive, worldwide, perpetual, irrevocable, fully paid-up, royalty-free, fully sublicenseable and transferable right and license to the Sponsor to use the Entry at their entire discretion, including without limitation the right to edit or modify the Entry for commercial or promotional purposes without any compensation whatsoever owed to you. You also waive all moral rights you may hold in or to your Entry to the extent required for the license granted hereunder.

Entry Limitations and Restrictions

There is a limit of submitting Entries from one (1) Twitter account per email address permitted during the Contest Period. For greater certainty, you can submit multiple entries, using one (1) Twitter account, associated with one (1) email address to enter the Contest. The sole determinant of time for the purposes of a valid Entry during the Contest Period will be the Contest’s server machine(s).

Entry Verification and Entry Rejection

All Entries are subject to verification at any time and for any reason. The Sponsor reserves the right, in its sole and absolute discretion, to require proof of identity of entrant and/or eligibility of its Entry, (in a form acceptable to the Sponsor – including, without limitation, government issued photo identification) for the purposes of administering this Contest in accordance with these Rules. Failure to provide such proof to the satisfaction of the Sponsor in a timely manner may result in disqualification in the sole and absolute discretion of the Sponsor.

If it is discovered by the Sponsor (using any evidence or other information made available to or otherwise discovered by the Sponsor) that any person has attempted to: [(i) use (or attempt to use) multiple names, identities, email addresses, accounts and/or any automated, macro, script, robotic or other system(s) or program(s) to enter or otherwise participate in or disrupt this Contest;] (ii) not respect these Rules and/or (iii) behave in a manner that otherwise undermines the integrity, fairness or administration of the Contest, then he/she may be disqualified from the Contest in the sole and absolute discretion of the Sponsor.

In the event of a dispute regarding who submitted an Entry, Entries will be deemed to have been submitted by the authorized account holder of the Account and the email address submitted at the time of entry. “Authorized account holder” is defined as the person who is assigned an email address by an internet provider, online service provider, or other organization (e.g. business, educational institute, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.

Your Entry may be rejected if (in the sole and absolute discretion of the Sponsor) your Entry is incomplete or is not submitted and received during the Contest Period or is otherwise in breach with the terms and conditions set out in these Rules. The Released Parties (defined below) are not responsible for late, lost, misdirected, delayed, incomplete or incompatible Entries, all of which will be void and rejected. The Contest’s Parties decision to disqualify an Entry or entrant shall be final without right of appeal.

1. Prizes must be accepted as awarded and is not transferable, assignable or convertible to cash (except as may be specifically permitted by Sponsor in their sole and absolute discretion). No substitutions except at Sponsor’s option. Sponsor reserve the right, in its sole and absolute discretion, to substitute the Prize or a component thereof with a prize of equal or greater value, including, without limitation, but at Sponsor’s sole and absolute discretion, a cash award. Prizes will only be awarded to the people whose verifiable full name and valid email address appears on the Account associated with the Entry in question. All federal, local and provincial income taxes connected to the Prize are the sole responsibility of the winner. All federal local and provincial laws and regulations apply. Prize Supplier, Sponsor and any third party service providers expressly disclaim any responsibility or liability for injury or loss to any person or property relating to the delivery and/or subsequent use of prizes awarded. Prize Supplier, Sponsor and any third party service providers make no representation or warranties concerning the appearance, safety or performance of any prizes awarded.

4. WINNER SELECTION:

On November 14, 2018 (the “Draw Date”) at the offices of Listen to Lena Inc., Toronto, Ontario at approximately 8:00 PM – 9:00PM, five (5) eligible entrants will be selected by random draw from among all eligible Entries submitted and received during the Contest Period in accordance with these Rules. The odds of winning depend on the number of eligible Entries submitted and received during the Contest Period in accordance with these Rules.

The Sponsor or a designated representative will make a minimum of one (1) attempt to contact the selected entrant via Twitter Direct Message, within seven (7) business days of the Draw Date. If the selected entrant cannot be contacted within seven (7) business days of the Draw Date, or if there is a return of any notification as undeliverable; then he/she may, in the sole and absolute discretion of the Sponsor, be disqualified (and, if disqualified, will forfeit all rights to the Prize) and the Sponsor reserves the right, in their sole and absolute discretion and time permitting, to randomly select an alternate eligible entrant from among the remaining eligible Entries (in which case the foregoing provisions of this section shall apply to such newly selected entrant).

Each winner agrees to the publication, reproduction and/or other use of his/her Entry, name, address, voice, statements about the Contest and/or photograph or other likeness without further notice or additional compensation, in any publicity, advertisement or other promotional or commercial use carried out by or on behalf of the Sponsor or Prize Supplier in any media, current or existing, including print, broadcast or the internet.

5. GENERAL CONDITIONS:

All Entries become the property of the Sponsor. This Contest is subject to all applicable federal, provincial and municipal laws. The decisions of the Sponsor with respect to all aspects of this Contest are final and binding on all entrants without right of appeal, including, without limitation, any decisions regarding the eligibility/disqualification of Entries and/or entrants. By participating in this Contest, you are agreeing to be legally bound by the terms and conditions of these Rules. ANYONE DETERMINED TO BE IN VIOLATION OF THESE RULES FOR ANY REASON IS SUBJECT TO DISQUALIFICATION IN THE SOLE AND ABSOLUTE DISCRETION OF THE CONTEST PARTIES AT ANY TIME.

The Contest Parties (which includes the Prize Supplier, Sponsor, third party service providers), and each of their respective officers, directors, agents, representatives, successors and assigns (collectively, the “Released Parties”) will not be liable for any loss, damages or injury, claims or fees related to or arising out of: (i) your participation in this Contest; (ii) any failure of the Website during the Contest; (iii) any technical malfunction or other problems relating to the telephone network or lines, computer on-line systems, servers, access providers, computer equipment or software; (iv) fraudulent calls; (v) any delay or inability to act resulting from an event or situation beyond their control, including a strike, lockout or other labour dispute; (vi) the failure of any Entry to be received, captured or recorded for any reason, including, but not limited to, technical problems or traffic congestion on the internet or at any website; (vii) any injury or damage to an entrant’s or any other person’s computer or other device related to or resulting from participating in the Contest; (viii) the award, use of misuse of any Prize or any portion thereof; (ix) Prizes that are lost, damaged or misdirected during shipping and/or (x) any combination of the above.

The Sponsor reserves the right, in their sole and absolute discretion, and without prior notice, to adjust any of the dates and/or timeframes stipulated in these Rules, to the extent necessary, for purposes of verifying compliance by any entrant or Entry with these Rules, or as a result of any technical or other problems, or in light of any other circumstances which, in the opinion of the Sponsor, in its sole and absolute discretion, affect the proper administration of the Contest as contemplated in these Rules, or for any other reason.

By entering this Contest, each entrant expressly authorizes the Sponsor, Prize Supplier and their respective agents and/or representatives, to store, share and use the personal information submitted with his/her Contest Entry for the purpose of administering the Contest including, without limitation, to communicate with the entrant for the purpose of administering the Contest, unless the entrant otherwise agrees. Personal information will be collected, used, and disclosed in accordance with Danier’s Privacy and Security Statement.

In the event of any discrepancy or inconsistency between the terms and conditions of these Rules and disclosures or other statements contained in any Contest-related materials, including, but not limited to: the Entry Form, Website, and/or point of sale, television, print or online advertising; the terms and conditions of the Rules shall prevail, govern and control to the fullest extent permitted by law.

NO PURCHASE NECESSARY TO ENTER OR WIN.

1. SPONSOR AND MODERATOR: The sponsor of this Contest is PepsiCo Canada ULC (the “Contest Sponsor”) and will be moderated on behalf of the Contest Sponsor by Lena Almeida of Listen to Lena Inc. (the “Moderator”) through @Listen2Lena.

2. ELIGIBILITY: The Contest is open to legal residents of Canada (excluding Quebec), who are at least the age of majority in their province/territory of residence on the date of entry. The following persons are not eligible to participate: employees, contractors, agents, representatives, directors and officers of the Contest Sponsor, the Moderator, each of their respective parents, subsidiaries and affiliated or related companies, distributors, Web design, advertising, fulfillment, judging and promotion agencies involved in the administration, development, fulfillment and execution of this Contest and the immediate family members of each (spouse, parent, child, sibling, grandparent, and/or “step” of each, regardless of where they live) and those living in their same households (whether related or not). Twitter is not associated with or responsible for the administration of this Contest.

3. CONTEST PERIOD: The QUAKER® #stopCOMPAREnting Twitter Party Contest (the “Contest”) begins at 8:00 pm ET on November 29, 2016 and ends at 9:00 pm ET on November 29, 2016 (the “Contest Period”).

4. TO PLAY: You must register online as a Quaker Canada follower on Twitter at www.twitter.com/QuakerCanada (the “Website”) to participate. To be a Quaker Canada follower, you must be a registered user on Twitter (a third party Website). If you do not have a Twitter account, follow the onscreen instructions to register for a free Twitter account at www.twitter.com. You will be asked to provide your first and last name and email address and to set up a user name and password. You may also be asked to answer optional questions; however, they need not be answered in order to be eligible for the Game. YOU MUST REGISTER BY THE ABOVE REGISTRATION METHOD TO PARTICIPATE IN THIS CONTEST.

During the Contest Period, the Moderator, @Listen2Lena, will tweet questions on behalf of the Contest Sponsor relating to the real side of parenting (the “Initiating Tweets”) that invite participants to reply using the hashtag #stopCOMPAREnting and including the Twitter handle @QuakerCanada and sharing with the community (a “Response”). Eight (8) questions will be tweeted throughout the Contest Period. You will receive one (1) entry into the Contest for one (1) Response to each Initiating Tweet that is viewable by the Contest Sponsor through Twitter at the end of each Draw Period (as defined below). Each Response must include the #stopCOMPAREnting hashtag, include the Twitter handle @QuakerCanada and must clearly respond to the topic included in the Initiating Tweet, as determined in the sole discretion of the Contest Sponsor.

The Contest Sponsor is not responsible for late, lost, incomplete, misdirected, unintelligible or lost Responses. The Contest Sponsor’s time clock is the official clock for this Contest.

At the end of each Draw Period, a random draw will be held from among all eligible entries received (see Rule 2 above) to select an entrant eligible to win the Prize associated with each Draw Period in the table above. Entrants eligible to win will be contacted by Twitter Direct Message to obtain mailing address, and will be required to successfully answer a mathematical skill-testing question in order to be declared a winner.

6. PRIZE DETAILS/APPROXIMATE RETAIL VALUES/ODDS: Eight (8) prizes each with a retail value of $220 CAD are available to be won. Odds of winning depend upon the number of eligible entries received during each Draw Period. Limit one (1) prize per person, per Twitter account, and per household. 12) A Tweet will be void (and an Entry will not be granted) if the Tweet:
I. does not provide a relevant answer to the Question;
II. is incomplete or illegible;
III. is not submitted and received during the Contest Period in accordance with these Rules;
IV. does not include the Hashtag and the Question number in the specified format;
V. does not conform to Twitter’s (140) character limitation including the Hashtag;
VI. does not comply with the Twitter Terms of Service or Twitter Rules; and/or
VII. is not in accordance with the specific Submission Requirements listed above (all as determined by Sponsor in its sole and absolute discretion).

13) Private Twitter and/or Instagram accounts must be made public in order to be entered.

14) Limit: THERE IS A LIMIT OF ONE (1) PRIZE PER PERSON/ACCOUNT PERMITTED DURING THE CONTEST PERIOD. For greater certainty, you can only use one (1) Account to enter the Contest. If it is discovered that any person has attempted to: (i) submit more than one (1) Tweet per /account per Question during the Contest Period; and/or (ii) use (or attempt to use) multiple names, identities and/or more than one (1) Account to enter the Contest; then (in the sole and absolute discretion of the Sponsor) he/she may be disqualified from the Contest and all of his/her Tweets voided. Use (or attempted use) of multiple names, identities, email addresses, Accounts and/or any automated, macro, script, robotic or other system(s) or program(s) to enter or otherwise participate in or disrupt this Contest is prohibited and is grounds for disqualification by the Sponsor. 15) Deadline for entry in Contest is 9:00 pm ET on January 24th, 2018.

DRAW AND SELECTION PROCESS

16) Only Entries reviewed by BMO will be considered. Proof of tweet transmission shall not constitute proof of receipt. The sole determinant of time for valid entry in this Contest will be the Contest sponsor. BMO reserves the right to refuse any entry in its absolute discretion.

17) By entering into the Contest, you are giving your consent to be notified, through electronic communication, that you have been selected a winner.

18) At the end of the Contest Period, for every Question posed, a random draw will be held among the eligible Entries received to select an entrant eligible to win a Prize. Once an entrant has been randomly selected, such entrant will not be eligible for a chance to win a second prize.

19) Selected entrants must first correctly answer a time-limited mathematical skill-testing question to be administered by mail, email or telephone. Entrants will be contacted in the form of a direct message or reply to their Entry submission on Twitter within 2 business days following the end of the Contest Period. If you do not respond within forty-eight (48) hours of notification, the Sponsor reserves the right to select another eligible entry. ii. CLAIMING OF PRIZE

22) To be declared the winner, BMO may ask you to verify that you meet the eligibility requirements listed in the Eligibility section of these Contest Rules, and may require you to provide proof or identification, and you must correctly answer, without assistance of any kind, a time limited mathematical skill-testing question provided by BMO or the Chat Host.

23) Failure to comply with one of the conditions mentioned in these Contest Rules or to accept the Prize will cause the selected participant to be disqualified. In such a case, BMO may, at its sole discretion, hold a new draw or make a new selection based on all other eligible entries until a participant is selected and declared a winner, or cancel the Contest. In the event that no participant has been declared a winner after three attempts, BMO may, at its sole discretion, cancel the Contest, in whole or in part.

24) No other substitutions are permitted except at the discretion of BMO who reserves the right to substitute a rewards/prize of comparable or greater value if the Prize are unavailable or cannot be awarded as described for any reason. GENERAL CONDITIONS

28) Agreement. By submitting an entry, you agree to these Contest Rules.
29) Applicable laws. Subject to all applicable laws, these Contest Rules govern all aspects of the Contest and bind all participants.
30) Participant identification. The participant is the person whose name appears on the Twitter Account, and it is to this person to whom the Prize will be awarded if he/she is selected and declared a winner in accordance with Section 5 of these Contest Rules. In the event of a dispute as to the identity of a participant, the entry will be deemed to be submitted by the established holder of the Twitter account associated with the entry.
31) Verification. Entries are subject to verification and will be declared invalid if they are submitted late or they are otherwise noncompliant. 32) Disqualification. 34) Release of Liability: use of the prize. 36) Representations and Warranties. Participant represents covenants and agrees that BMO will not have to pay monies or other consideration to any third chat or to participant, or to obtain releases or consents from any third chat with respect to the Contest or Photo other than participant’s consent pursuant to these Contest Rules, in order to fully exercise and exploit the rights granted hereunder. Participant further represents, covenants and agrees that: (i) participant is the owner of all right, title and interest in and to the Photo and all elements thereof; (ii) the consent of no other person or entity is required to enable BMO to use the Photo as described herein; and (iii) BMO’s use of the Photo as contemplated herein will not violate or infringe upon the trademarks, service marks, trade names, copyright, artistic, and/or other rights of any third party(ies) including the rights of publicity and/or privacy.
37) Indemnification. Participant hereby indemnifies, defends and holds harmless BMO and its Representatives, from any claim for infringement of any intellectual property right, violation of any personal right, or otherwise violation of any applicable laws (including, without limitation, trademarks, service marks, trade names, copyright, artistic, and/or other rights of any third party(ies) including the rights of publicity and/or privacy) arising from the use of the Photo and/or the breach of any representation or warranty made by the participant herein.
38) Contest modification. BMO reserves the right, at its sole discretion, to cancel, modify, suspend or terminate the Contest, in whole or in part, in the event of a virus, computer bug, unauthorized human action, or any other cause beyond its control that could corrupt or jeopardize the administration, security, impartiality or normal course of conduct of the Contest.
39) Termination of participation in the Contest. In the event that the Contest must be terminated in whole or in part before the end date provided in these Contest Rules (“Early End Date”), BMO may, at its sole discretion, proceed with the entries duly received up to and including the Early End Date.
40) Prize limit. In no event shall BMO be required to award more prizes than indicated in these Contest Rules or to award a prize otherwise than in compliance with these Contest Rules.
41) Authorization. Any participant selected for the Prize grants BMO and their representatives the right to use, if required, their name, image (photo, voice or video) for publicity purposes, without any form of compensation.
42) Communication with participants. No communication or correspondence related to the Contest shall be exchanged with participants except as provided for in these Contest Rules or at BMO’s initiative.
43) Final decision. Any decision by BMO or its representatives regarding the Contest is final and binding without appeal.
44) Severability. If a section of the Contest Rules is declared or deemed illegal, unenforceable or invalid by a competent court, that section shall be considered invalid, but all unaffected sections will be applied within the limits of the law.

#BDHoliday Twitter Party Rules

The “#BDHoliday Twitter Party” Contest (the “Contest”) begins on November 19, 2017 at 8:00 PM Eastern Time (“ET”) and ends on November 19, 2017 at 9:00 PM ET (the “Contest Period”).

1. ELIGIBILITY:
Contest is open to all legal residents of Canada, excluding Québec, who have reached the legal age of majority in their province/territory of residence at the time of entry, except employees, representatives or agents (and those with whom such persons are domiciled or directly related) of Black+Decker Inc. (“Prize Supplier” and “Sponsor”), their parent companies, subsidiaries, affiliates, prize suppliers, advertising/promotion agencies and any entity involved in the development, production, implementation, administration or fulfillment of the Contest (collectively, the “Contest Parties”). “Directly related” shall mean father, mother, brother, sister, children, wife, husband or common law partner if such employee, representative or agent of a Contest Party.

Upon participating, Twitter Draw will randomly select eligible prizing winners within the contest period.

The Contest is in no way sponsored, endorsed or administered by, or associated with Twitter AND/OR any third party service provider. Black+Decker Inc. is the sole Sponsor and Prize Supplier. You understand that you are providing your personal information to the Sponsor and not to Twitter. Additional Entry Requirements

Each entrant is responsible for uploading/transmitting his/her Entry. The Entry must: i) be developed by the entrant or be fully owned by the entrant; ii) be an original work; iii) not have been previously published or be the subject of an agreement with a third party; iv) not have been considered for or won previous awards; v) not infringe upon the copyrights, trademarks, rights of privacy, rights of publicity or other intellectual property or other rights of any person or entity; and vi) have been created in a legal and safe manner.

The Entry must not:

a) contain defamatory words/statements (including words or symbols that are widely considered offensive to individuals of a certain race, ethnicity, religion, sexual orientation, or socioeconomic group);
b) threaten any person, place, business, or group;
c) disparage persons or organizations associated with the Contest Parties;
d) invade privacy or other rights of any person, firm, or entity;
e) contain material that is in any way unlawful, in violation of or contrary to all applicable federal, provincial or municipal laws and regulations where the submission is created;
f) contain material that is inappropriate, indecent (including but not limited to nudity or pornography), profane, obscene, hateful, tortuous, slanderous or libelous; and
g) refer to any person or organization without their prior express written permission.

By participating in this Contest and by submitting an Entry, you hereby grant an exclusive, worldwide, perpetual, irrevocable, fully paid-up, royalty-free, fully sublicenseable and transferable right and license to the Sponsor to use the Entry at their entire discretion, including without limitation the right to edit or modify the Entry for commercial or promotional purposes without any compensation whatsoever owed to you. You also waive all moral rights you may hold in or to your Entry to the extent required for the license granted hereunder.

Entry Limitations and Restrictions

There is a limit of submitting Entries from one (1) Twitter account per email address permitted during the Contest Period. For greater certainty, you can submit multiple entries, using one (1) Twitter account, associated with one (1) email address to enter the Contest. The sole determinant of time for the purposes of a valid Entry during the Contest Period will be the Contest’s server machine(s).

Entry Verification and Entry Rejection

All Entries are subject to verification at any time and for any reason. The Sponsor reserves the right, in its sole and absolute discretion, to require proof of identity of entrant and/or eligibility of its Entry, (in a form acceptable to the Sponsor – including, without limitation, government issued photo identification) for the purposes of administering this Contest in accordance with these Rules. Failure to provide such proof to the satisfaction of the Sponsor in a timely manner may result in disqualification in the sole and absolute discretion of the Sponsor.

If it is discovered by the Sponsor (using any evidence or other information made available to or otherwise discovered by the Sponsor) that any person has attempted to: [(i) use (or attempt to use) multiple names, identities, email addresses, accounts and/or any automated, macro, script, robotic or other system(s) or program(s) to enter or otherwise participate in or disrupt this Contest;] (ii) not respect these Rules and/or (iii) behave in a manner that otherwise undermines the integrity, fairness or administration of the Contest, then he/she may be disqualified from the Contest in the sole and absolute discretion of the Sponsor.

In the event of a dispute regarding who submitted an Entry, Entries will be deemed to have been submitted by the authorized account holder of the Account and the email address submitted at the time of entry. “Authorized account holder” is defined as the person who is assigned an email address by an internet provider, online service provider, or other organization (e.g. business, educational institute, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.

4. WINNER SELECTION:

On November 19, 2017 (the “Draw Date”) at the offices of Listen to Lena Inc., Toronto, Ontario at approximately 8:00 PM – 9:00PM, six (6) eligible entrants will be selected by random draw from among all eligible Entries submitted and received during the Contest Period in accordance with these Rules. The odds of winning depend on the number of eligible Entries submitted and received during the Contest Period in accordance with these Rules.

The Sponsor or a designated representative will make a minimum of one (1) attempt to contact the selected entrant via Twitter Direct Message, within seven (7) business days of the Draw Date. If the selected entrant cannot be contacted within seven (7) business days of the Draw Date, or if there is a return of any notification as undeliverable; then he/she may, in the sole and absolute discretion of the Sponsor, be disqualified (and, if disqualified, will forfeit all rights to the Prize) and the Sponsor reserves the right, in their sole and absolute discretion and time permitting, to randomly select an alternate eligible entrant from among the remaining eligible Entries (in which case the foregoing provisions of this section shall apply to such newly selected entrant).

Any personal information you provide will only be used for the administration of this Contest and in accordance with the Sponsor’s privacy policy (see below). Twitter is completely released from all liability by each participant in this Contest. Any questions, comments or complaints regarding the Contest must be directed to the Sponsor and not Twitter. 3. Agreement to Official Rules. Participation in this Twitter Party constitutes Entrant’s full and unconditional agreement to these Official Rules and Sponsor’s and Administrator’s decisions, which are final and binding in all matters related to this Twitter Party. Winning a Prize is contingent upon fulfilling all requirements set forth in these Official Rules.

4. Submission Entry Period. Entrants may make submissions via twitter following guidelines outlined in How to Enter (“Entry”) between the hours of 8:00pm and 930pm EST on February 1st, 2017. Date and time can change based on twitter’s status. If date and time are changed entrants will be notified via twitter using appropriate hashtag, i.e. #GameDayFood

5. How to Enter:

a. Submissions: To enter the Twitter Party entrants must submit a tweet during official party hours of 8:00pm and 9:30pm EST on February 1st, 2017 using the #GameDayFood hashtag

b. Entry: By entering you agree that your Submission conforms to the conditions provided above and below;
To enter the Contest, you must have a valid Account. If you do not have an Account, visit www.twitter.com and register in accordance with the enrolment instructions for a free Account.
b. In addition, eligible entrants (see above) must become a “follower” (the “Follower(s)”) of the two (2) Twitter accounts (each, a “Contest Account”) that correspond to the following @usernames: @MapleLeafPrime and @Listen2Lena (collectively referred as “@Contestusernames”). Note: you can un-follow any time after the Contest.

To become a Follower, an eligible entrant must: (i) visit www.twitter.com/MapleLeafPrime / www.twitter.com/Listen2Lena ; OR (ii) from his/her Twitter home page, click on the “Find People” tab and perform a search for “@MapleLeafPrime” / “@Listen2Lena” (as applicable); AND (iii) click on the “Follow” button corresponding to the applicable Contest Account.

c. To enter, log into your Account and monitor the Contest Accounts for a that will be tweeted from the Contest Accounts prior to each Selection Period. Next, send a reply tweet (each, a “Reply Tweet”) to the Theme Tweet using your Account during the corresponding Selection Period. If your Reply Tweet is submitted and received in compliance with these Official Contest Rules (as determined by the Moderator), you will be eligible to receive one (1) entry (an “Entry”) into the applicable Draw (defined below) that corresponds to the applicable Selection Period.
To be eligible, your Reply Tweet must:

i. include your personal, unique and original response on the topic of the corresponding Theme;
ii. be in accordance with the Submission Requirements listed below in Rule 4;
iii. include the following hashtag: #GameDayFoodand the Contest user names of @Listen2Lena & @MapleLeafPrime;
iv. comply with the Twitter Terms of Service and Twitter Rules available at www.twitter.com; and
v. conforms to Twitter’s (140) character limitation, including the Hashtag #GameDayFood and @MapleLeafPrime & @Listen2Lena

e. Any Reply Tweet that does not follow the above format (as determined by Moderator and/or Sponsor in its sole and absolute discretion) will be discarded and will not be eligible for entry in this Contest.

f. A Reply Tweet will be considered to be void (and an Entry will not be granted) if the Reply Tweet: (i) does not describe and/or discuss the applicable party theme (as determined by Moderator in its sole and absolute discretion) during the applicable Selection Period; (ii) is incomplete or illegible; (iii) is not submitted and received during the applicable Selection Period in accordance with these Official Contest Rules (the “Rules”); (iv) does not include the Hashtags; (v) does not include at minimum the following @Contestusername of @Listen2Lena & @MapleLeafPrime; (vi) does not conform to Twitter’s (140) character limitation including the Hashtags; (vii) does not comply with the Twitter Terms of Service and Twitter Rules; and/or (viii) is not in accordance with the specific Submission Requirements listed below in Rule 4 (all as determined by Moderator and/or Sponsor in its sole and absolute discretion).

g. Standard text messaging and/or data rates apply to entrants who submit a Reply Tweet via a wireless mobile device. Wireless service providers may charge for airtime for each standard text message sent and received. Please call your service provider for pricing and service plan information and rates before mobile device participation.

h. You can only use one (1) e-mail address/Account to enter the Contest. Limit of one (1) Reply Tweet (Entry) per person/e-mail address/Account per Selection Period, with a total limit of six (6) Reply Tweets per person/e-mail address/Account throughout the Entry Period. If it is discovered that any person has attempted to: (i) submit more than one (1) Reply Tweet (Entry) per person/e-mail address/Account per Selection Period; (ii) obtain more than one (1) Entry per person/e-mail address/Account per Selection Period; and/or (iii) use (or attempt to use) multiple names, identities and/or more than one (1) e-mail address or Account to enter the Contest; then (in the sole and absolute discretion of the Moderator and/or Sponsor) he/she may be disqualified from the Contest and all of his/her Reply Tweets and Entries voided. Use (or attempted use) of multiple names, identities, e-mail addresses, Accounts and/or any automated, macro, script, robotic or other system(s) or program(s) to enter or otherwise participate in or disrupt this Contest is prohibited and is grounds for disqualification by the Moderator and/or Sponsor. The Releasees (defined below) are not responsible for late, lost, misdirected, delayed, incomplete or incompatible Reply Tweets (all of which are void). All Reply Tweets (Entry) will be collected using a third party social listening tool and, without limiting the generality of the foregoing, the Releasees will not be responsible if any Reply Tweet (Entry) is not detected and/or collected.

i. If any entrant provides more than one (1) Reply Tweet for any given Selection Period, only his/her first Reply Tweet will be considered for the purposes of this Contest.

j. IN NO EVENT AND UNDER NO CIRCUMSTANCES WILL ANY PERSON/FOLLOWER BE PERMITTED TO OBTAIN MORE THAN THE MAXIMUM NUMBER OF ENTRIES AS STATED IN THESE RULES.

k. All entrants, Reply Tweets and Entries are subject to verification at any time. The Sponsor reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Sponsor – including, without limitation, government issued photo identification): (i) for the purposes of verifying an individual’s eligibility to participate in this Contest; (ii) for any other reason the Moderator and/or Sponsor deems necessary, in its sole and absolute discretion, for the purposes of administering this Contest in accordance with these Rules. Failure to provide such proof to the complete satisfaction of the Moderator and/or Sponsor within the timeline specified by the Moderator and/or Sponsor may result in disqualification in the sole and absolute discretion of the Moderator and/or Sponsor.

The Releasees will not be responsible for any social media service lag time and screenshots will not be accepted as proof of Reply Tweet delivery.

SUBMISSION REQUIREMENTS:

THE RELEASEES (DEFINED BELOW) WILL BEAR NO LEGAL LIABILITY REGARDING THE USE OF ANY REPLY TWEET (ENTRY) YOU SUBMIT. THE RELEASEES (DEFINED BELOW) SHALL BE HELD HARMLESS BY YOU IN THE EVENT IT IS SUBSEQUENTLY DISCOVERED THAT YOU HAVE DEPARTED FROM OR NOT FULLY COMPLIED WITH ANY OF THESE RULES.

The “#WeKnowSpring Twitter Party” Contest (the “Contest”) begins on May 18th, 2016 at 8:00 PM Eastern Time (“ET”) and ends on May 18th, 2016 at 9:00 PM ET (the “Contest Period”).

1. ELIGIBILITY:

Contest is open to all legal residents of Canada, excluding Québec, who have reached the legal age of majority in their province/territory of residence at the time of entry, except employees, representatives or agents (and those with whom such persons are domiciled or directly related) of Home Depot of Canada Inc. (“Prize Supplier”), and Listen to Lena (each individually and collectively, the “Contest Sponsor”), their parent companies, subsidiaries, affiliates, advertising/promotion agencies and any entity involved in the development, production, implementation, administration or fulfillment of the Contest (collectively, the “Contest Parties”). “Directly related” shall mean father, mother, brother, sister, children, wife, husband or common law partner of such employee, representative or agent of a Contest Party.

Entry Limitations and Restrictions
There is a limit of submitting Entries from one (1) Twitter account per email address permitted during the Contest Period. For greater certainty, you can submit multiple entries, using one (1) Twitter account, associated with one (1) email address to enter the Contest. The sole determinant of time for the purposes of a valid Entry during the Contest Period will be the Contest’s server machine(s).

Entry Verification and Entry Rejection
All Entries are subject to verification at any time and for any reason. The Sponsor reserves the right, in its sole and absolute discretion, to require proof of identity of entrant and/or eligibility of its Entry, (in a form acceptable to the Sponsor – including, without limitation, government issued photo identification) for the purposes of administering this Contest in accordance with these Rules. The odds of winning depend on the number of eligible Entries submitted and received during the Contest Period in accordance with these Rules.

The Sponsor or a designated representative will make a minimum of one (1) attempt to contact the selected entrant via Twitter Direct Message, within seven (7) business days of the Draw Date. If the selected entrant cannot be contacted within seven (7) business days of the Draw Date, or if there is a return of any notification as undeliverable; then he/she may, in the sole and absolute discretion of the Sponsor, be disqualified (and, if disqualified, will forfeit all rights to the Prize) and the Sponsor reserves the right, in their sole and absolute discretion and time permitting, to randomly select an alternate eligible entrant from among the remaining eligible Entries (in which case the foregoing provisions of this section shall apply to such newly selected entrant).

4. SUBMISSION REQUIREMENTS:

BY SUBMITTING A REPLY TWEET (ENTRY), YOU AGREE THAT THE REPLY TWEET (ENTRY) COMPLIES WITH ALL CONDITIONS STATED IN THESE RULES AND THE TWITTER TERMS OF SERVICE. THE RELEASEES (DEFINED BELOW) WILL BEAR NO LEGAL LIABILITY REGARDING THE USE OF ANY REPLY TWEET (ENTRY) YOU SUBMIT. THE RELEASEES (DEFINED BELOW) SHALL BE HELD HARMLESS BY YOU IN THE EVENT IT IS SUBSEQUENTLY DISCOVERED THAT YOU HAVE DEPARTED FROM OR NOT FULLY COMPLIED WITH ANY OF THESE RULES.

Without limiting the generality of the requirements noted above in Rule 3, to be eligible for entry in this Contest, any Reply Tweet (Entry) you submit must be your personal and original response on the topic of the applicable Theme (i.e. you cannot Retweet someone else’s answer or submit the same answer more than one time in this Contest). Your Reply Tweet (Entry) must be written in English only.

By submitting a Reply Tweet (Entry), each entrant warrants and represents that such Reply Tweet (Entry):

By entering the Contest and submitting a Reply Tweet (Entry), each entrant: (i) without limiting the Twitter Terms of Service, grants to the Sponsor and/or Moderator (and others authorized by the Sponsor), in perpetuity, a non-exclusive license to publish, display, reproduce, modify, edit or otherwise use his/her Reply Tweet (Entry), in whole or in part, for advertising or promoting the Contest or for any other reason; (ii) waives all moral rights in and to his/her Reply Tweet (Entry) in favour of the Contest Parties; and (iii) agrees to release and hold harmless the Contest Parties and each of their respective agents, employees, directors, successors, and assigns (collectively, the “Releasees”) from and against any and all claims based on publicity rights, defamation, invasion of privacy, copyright infringement, trade-mark infringement or any other cause of action that relate in any way to his/her Reply Tweet (Entry). For greater certainty, the Sponsor and/or the Moderator reserves the right, in its sole and absolute discretion and at any time during the Contest, to modify, edit or disqualify any Reply Tweet (Entry) if a complaint is received with respect to the Reply Tweet (Entry), or for any other reason. If such an action is necessary at any point, then the Sponsor and/or Moderator, reserves the right, in its sole and absolute discretion, to disqualify the Reply Tweet (and corresponding Entry) and/or the associated entrant. If the Sponsor and/or the Moderator determines, in its sole and absolute discretion, that any Reply Tweet (Entry) does not comply with these Rules for any reason at any time, then the Sponsor and/or Moderator, reserves the right, in its sole and absolute discretion, to disqualify the Reply Tweet (and corresponding Entry) and/or the associated entrant. Reply Tweets (Entry) will NOT be judged.

6. ELECTRONIC COMMUNICATIONS:

By submitting Reply Tweet to the Contest as described above, each entrant agrees to communicate with the Sponsor and Moderator electronically and agrees that his/her act of submitting a Reply Tweet (Entry) in this Contest constitutes his/her agreement to be legally bound by these Rules and by the interpretation of these Rules by the Sponsor and Moderator at their sole and absolute discretion.

7. THE PRIZES AND APPROXIMATE RETAIL VALUES:

A total of five (5) prizes (each, a “Prize”) are available to be won at the beginning of the Entry Period. There will be one (1) Prize allocated to each Selection Period or Bonus Selection Period and the following table includes a description and the approximate retail value of the Prize that is allocated to each Selection Period or Bonus Selection Period:

Each Prize will only be awarded to the person who is verified as the “authorized account holder” (see below) of the Account associated with the selected Entry. There is a limit of one (1) Prize per household throughout the Contest. Any and all costs/expenses not specifically included in the Prize description provided above are the sole and absolute responsibility of the applicable confirmed winner. 8. WINNER SELECTION:

After the close of each Selection Period, the Moderator will conduct one (1) random draw (each, a “Draw”, for a total of five (5) Draws; one (1) per Selection Period) from among all eligible Entries received during the applicable Selection Period (Note: non-selected Entries will not carry over into any subsequent Draw[s]) to select one (1) entrant as the potential winner of the Prize that corresponds to such Selection Period (see Rule 7 for details). Odds of winning a Prize will depend on the total number of eligible Entries received during the applicable Selection Period.

Each potential winner will receive a @mention notification on or before 9:45 PM EST on April 6, 2016. Each potential Prize winner must respond by direct message on or before 9:00 AM EST on April 8, 2016 by following the instructions provided in the @notification. If any potential Prize winner fails to respond on or before 9:00 AM EST on April 8, 2016 in accordance with the instructions provided in the @notification, then such potential Prize winner will be disqualified (and will forfeit all rights to the applicable Prize), even if such potential winner’s @username may have been publicly announced as a in the context of a identifying the potential Prize winners. If a potential Prize winner: (a) fails to correctly answer the skill-testing question; (b) fails to return the applicable Contest documents within the specified time (as provided above); and/or (c) cannot accept the applicable Prize as awarded for any reason; then he/she will be disqualified (and will forfeit all rights to the applicable Prize).

9. GENERAL CONDITIONS:

In the event of a dispute regarding who submitted a Reply Tweet (Entry), Reply Tweets will be deemed to have been submitted by the authorized account holder of the Account used to submit the applicable Reply Tweet (Entry) (as determined in accordance with the official records of Twitter). An entrant may be required to provide proof (in a form acceptable to the Sponsor and/or moderator, including, without limitation, government issued photo identification) that he/she is the authorized account holder of the Account used to submit the applicable Reply Tweet (Entry).

The Sponsor reserves the right to withdraw, amend or suspend this Contest (or to amend these Rules) in any way, in the event of an error, technical problem, computer virus, bugs, tampering, unauthorized intervention, fraud, technical failure or any other cause beyond the reasonable control of the Sponsor that interferes with the proper conduct of this Contest as contemplated by these Rules. Any attempt to deliberately damage any website or to undermine the legitimate operation of this Contest in any way (as determined by Sponsor in its sole and absolute discretion) is a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law. The Sponsor reserves the right to cancel, amend or suspend this Contest, or to amend these Rules, without prior notice or obligation, in the event of any accident, printing, administrative, or other error of any kind, or for any other reason.

This Contest is subject to all applicable federal, provincial and municipal laws. The decisions of the Sponsor with respect to all aspects of this Contest are final and binding on all entrants without right of appeal, including, without limitation, any decisions regarding the eligibility/disqualification of entrants and/or Reply Tweets.

The Sponsor reserves the right and without prior notice, to adjust any of the dates and/or timeframes stipulated in these Rules, to the extent necessary, for purposes of verifying compliance by any entrant or Reply Tweet with these Rules, or as a result of any technical or other problems, or in light of any other circumstances which, in the opinion of the Sponsor, in its sole and absolute discretion, affect the proper administration of the Contest as contemplated in these Rules, or for any other reason. Without limiting the generality of the forgoing, the Sponsor reserves the right, in its sole and absolute discretion, to administer an alternate test of skill as it deems appropriate based on the circumstances and/or to comply with applicable law.

By entering this Contest, each entrant expressly consents to the Sponsor, the Moderator and their respective agents and/or representatives, storing, sharing and using the personal information submitted with his/her Reply Tweet only for the purpose of administering the Contest and in accordance with Sponsor’s privacy policy (available at: http://www.walmart.ca/en/help/legal/privacy-policy). This section does not limit any other consent(s) that an individual may provide the Sponsor, the Moderator or others in relation to the collection, use and/or disclosure of their personal information.

In the event of any discrepancy or inconsistency between the terms and conditions of these Rules and disclosures or other statements contained in any Contest-related materials, including, but not limited to: any website, application, point of sale, television, print or online advertising and/or any instructions or interpretations of these Rules given by any representative of the Sponsor; the terms and conditions of these Rules shall prevail, govern and control to the fullest extent permitted by law.

The invalidity or unenforceability of any provision of these Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Rules shall otherwise remain in effect and shall be construed in accordance with the terms as if the invalid or illegal provision were not contained herein.

To the fullest extent permitted by applicable law, all issues and questions concerning the construction, validity, interpretation and enforceability of these Rules or the rights and obligations of participants, Sponsor or any of the other the Releasees in connection with the Contest will be governed by and construed in accordance with the domestic laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other jurisdiction’s laws. iii. does not contain any reference to any identifiable third parties, unless consent has been obtained from each such individual and his/her parent/legal guardian if he/she is under the age of majority in his/her jurisdiction of residence;
iv. will not give rise to any claims of infringement, invasion of privacy or publicity, or infringe on any rights and/or interests of any third party, or give rise to any claims whatsoever; and
v. is not defamatory, trade libelous, pornographic or obscene, and further that it will not contain, include, discuss or involve, without limitation, any of the following: nudity; alcohol/drug consumption or smoking; explicit or graphic sexual activity, or sexual innuendo; crude, vulgar or offensive language and/or symbols; derogatory characterizations of any ethnic, racial, sexual, religious or other groups; content that endorses, condones and/or discusses any illegal, inappropriate or risky behaviour or conduct; personal information of individuals, including, without limitation, names, telephone numbers and addresses (physical or electronic); commercial messages, comparisons or solicitations for products or services other than products of Sponsor; any identifiable third party products, trade-marks, brands and/or logos, other than those of Sponsor; conduct or other activities in violation of these Rules; and/or any other content that is or could be considered inappropriate, unsuitable or offensive, all as determined by the Sponsor in its sole and absolute discretion.

By entering the Contest and submitting a Reply Tweet (Entry), each entrant: (i) without limiting the Twitter Terms of Service, grants to the Sponsor and/or Moderator (and others authorized by the Sponsor), in perpetuity, a non-exclusive license to publish, display, reproduce, modify, edit or otherwise use his/her Reply Tweet (Entry), in whole or in part, for advertising or promoting the Contest or for any other reason; (ii) waives all moral rights in and to his/her Reply Tweet (Entry) in favour of the Contest Parties; and (iii) agrees to release and hold harmless the Contest Parties and each of their respective agents, employees, directors, successors, and assigns (collectively, the “Releasees”) from and against any and all claims based on publicity rights, defamation, invasion of privacy, copyright infringement, trade-mark infringement or any other cause of action that relate in any way to his/her Reply Tweet (Entry). For greater certainty, the Sponsor and/or the Moderator reserves the right, in its sole and absolute discretion and at any time during the Contest, to modify, edit or disqualify any Reply Tweet (Entry) if a complaint is received with respect to the Reply Tweet (Entry), or for any other reason. If such an action is necessary at any point, then the Sponsor and/or Moderator, reserves the right, in its sole and absolute discretion, to disqualify the Reply Tweet (and corresponding Entry) and/or the associated entrant. If the Sponsor and/or the Moderator determines, in its sole and absolute discretion, that any Reply Tweet (Entry) does not comply with these Rules for any reason at any time, then the Sponsor and/or Moderator, reserves the right, in its sole and absolute discretion, to disqualify the Reply Tweet (and corresponding Entry) and/or the associated entrant. Reply Tweets (Entry) will NOT be judged.

6. ELECTRONIC COMMUNICATIONS:

By submitting Reply Tweet to the Contest as described above, each entrant agrees to communicate with the Sponsor and Moderator electronically and agrees that his/her act of submitting a Reply Tweet (Entry) in this Contest constitutes his/her agreement to be legally bound by these Rules and by the interpretation of these Rules by the Sponsor and Moderator at their sole and absolute discretion.

7. THE PRIZES AND APPROXIMATE RETAIL VALUES:

A total of five (5) prizes (each, a “Prize”) are available to be won at the beginning of the Entry Period. There will be one (1) Prize allocated to each Selection Period or Bonus Selection Period and the following table includes a description and the approximate retail value of the Prize that is allocated to each Selection Period or Bonus Selection Period:

Each Prize will only be awarded to the person who is verified as the “authorized account holder” (see below) of the Account associated with the selected Entry. There is a limit of one (1) Prize per household throughout the Contest. Any and all costs/expenses not specifically included in the Prize description provided above are the sole and absolute responsibility of the applicable confirmed winner. All characteristics and features of each Prize, except as otherwise explicitly described above, are at the Sponsor’s sole and absolute discretion. 8. WINNER SELECTION:

After the close of each Selection Period, the Moderator will conduct one (1) random draw (each, a “Draw”, for a total of five (5) Draws; one (1) per Selection Period) from among all eligible Entries received during the applicable Selection Period (Note: non-selected Entries will not carry over into any subsequent Draw[s]) to select one (1) entrant as the potential winner of the Prize that corresponds to such Selection Period (see Rule 7 for details). Each potential winner will receive a @mention notification on or before 9:45 PM EST on June 20, 2016. Each potential Prize winner must respond by direct message on or before 9:00 AM EST on June 22, 2016 by following the instructions provided in the @notification. If any potential Prize winner fails to respond on or before 9:00 AM EST on June 22, 2016 in accordance with the instructions provided in the @notification, then such potential Prize winner will be disqualified (and will forfeit all rights to the applicable Prize), even if such potential winner’s @username may have been publicly announced as a in the context of a identifying the potential Prize winners. If a potential Prize winner: (a) fails to correctly answer the skill-testing question; (b) fails to return the applicable Contest documents within the specified time (as provided above); and/or (c) cannot accept the applicable Prize as awarded for any reason; then he/she will be disqualified (and will forfeit all rights to the applicable Prize).

9. GENERAL CONDITIONS:

By participating in this Contest, each entrant: (i) agrees to be bound by these Rules; (ii) agrees to release and hold harmless the Releasees from and against any and all claims based on publicity rights, defamation, invasion of privacy, copyright infringement, trade-mark infringement or any other cause of action; and (iii) releases the Releasees from any and all liability in connection with this Contest and his/her participation therein.

The Releasees will not be liable for: (i) any failure of any website during the Contest; (ii) any technical malfunction or other problems relating to the telephone network or lines, computer on-line systems, servers, access providers, computer equipment or software; (iii) the failure of any Reply Tweet to be received for any reason including, but not limited to, technical problems or traffic congestion on the Internet or at any website or mobile network; (iv) any injury or damage to an entrant’s or any other person’s computer or other device related to or resulting from participating or downloading any material in the Contest; and/or (v) any combination of the above.

In the event of a dispute regarding who submitted a Reply Tweet (Entry), Reply Tweets will be deemed to have been submitted by the authorized account holder of the Account used to submit the applicable Reply Tweet (Entry) (as determined in accordance with the official records of Twitter). An entrant may be required to provide proof (in a form acceptable to the Sponsor and/or moderator, including, without limitation, government issued photo identification) that he/she is the authorized account holder of the Account used to submit the applicable Reply Tweet (Entry).

The Sponsor reserves the right to withdraw, amend or suspend this Contest (or to amend these Rules) in any way, in the event of an error, technical problem, computer virus, bugs, tampering, unauthorized intervention, fraud, technical failure or any other cause beyond the reasonable control of the Sponsor that interferes with the proper conduct of this Contest as contemplated by these Rules. Any attempt to deliberately damage any website or to undermine the legitimate operation of this Contest in any way (as determined by Sponsor in its sole and absolute discretion) is a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law. The Sponsor reserves the right to cancel, amend or suspend this Contest, or to amend these Rules, without prior notice or obligation, in the event of any accident, printing, administrative, or other error of any kind, or for any other reason.

This Contest is subject to all applicable federal, provincial and municipal laws. The decisions of the Sponsor with respect to all aspects of this Contest are final and binding on all entrants without right of appeal, including, without limitation, any decisions regarding the eligibility/disqualification of entrants and/or Reply Tweets.

The Sponsor reserves the right and without prior notice, to adjust any of the dates and/or timeframes stipulated in these Rules, to the extent necessary, for purposes of verifying compliance by any entrant or Reply Tweet with these Rules, or as a result of any technical or other problems, or in light of any other circumstances which, in the opinion of the Sponsor, in its sole and absolute discretion, affect the proper administration of the Contest as contemplated in these Rules, or for any other reason. Without limiting the generality of the forgoing, the Sponsor reserves the right, in its sole and absolute discretion, to administer an alternate test of skill as it deems appropriate based on the circumstances and/or to comply with applicable law.

By entering this Contest, each entrant expressly consents to the Sponsor, the Moderator and their respective agents and/or representatives, storing, sharing and using the personal information submitted with his/her Reply Tweet only for the purpose of administering the Contest and in accordance with Sponsor’s privacy policy (available at: http://www.walmart.ca/en/help/legal/privacy-policy). This section does not limit any other consent(s) that an individual may provide the Sponsor, the Moderator or others in relation to the collection, use and/or disclosure of their personal information.
In the event of any discrepancy or inconsistency between the terms and conditions of these Rules and disclosures or other statements contained in any Contest-related materials, including, but not limited to: any website, application, point of sale, television, print or online advertising and/or any instructions or interpretations of these Rules given by any representative of the Sponsor; the terms and conditions of these Rules shall prevail, govern and control to the fullest extent permitted by law.
The invalidity or unenforceability of any provision of these Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Rules shall otherwise remain in effect and shall be construed in accordance with the terms as if the invalid or illegal provision were not contained herein.

To the fullest extent permitted by applicable law, all issues and questions concerning the construction, validity, interpretation and enforceability of these Rules or the rights and obligations of participants, Sponsor or any of the other the Releasees in connection with the Contest will be governed by and construed in accordance with the domestic laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other jurisdiction’s laws. The parties hereby consent to exclusive jurisdiction and venue of the courts located in Ontario in any action to enforce (or otherwise relating to) these Rules or relating to this Contest.

#LOVEONTFOOD TWITTER PARTY RULES

BY ENTERING THE CONTEST, YOU (“ENTRANT” OR “YOU”) MUST AGREE TO THESE OFFICIAL RULES:

1. Eligibility. The #LoveOntFood Twitter Party contest is open only to legal residents of Ontario (Canada) who have a twitter account, and are over age eighteen (18) years old at the time of entry. Employees of Foodland Ontario and members of the immediate families and households of such employees, and their respective affiliated and associated and related companies, agents, subsidiaries, suppliers, printers and distributors, franchisees, and all of their respective affiliates, directors, officers, owners, partners, employees, agents, representatives, successors and assigns will not be eligible.

2. Administrator and Sponsor. The administrator of this Twitter Party contest is Listen to Lena (the “Administrator”). The sponsor of this Twitter Party contest is Foodland Ontario (the “Sponsor”). The Sponsor’s role in the contest is limited to providing the prizes to the contest winners and the Sponsor has no responsibility for the administration of the contest.

3. Contest Date/Time. Contest begins at 8 PM ET on June 8, 2016 and ends at 9 PM ET on June 8, 2016.

4. Agreement to Official Rules. Participation in this Twitter Party contest constitutes an Entrant’s full and unconditional agreement to these Official Rules. Winning a prize is contingent upon fulfilling all requirements set forth in these Official Rules.

5. Submission Entry Period. Entrants may make submissions via Twitter between the hours of 8 p.m. and 9:00 p.m. ET on June 8, 2016. Date and time can change based on Twitter’s status. If date and time are changed entrants who have RSVP’ed will be notified via twitter using appropriate hashtag.

6. How to Enter: a. Submissions: To enter the Twitter Party entrants must submit a tweet during official party hours of 8 p.m. and 9:00 p.m. ET on June 8, 2016 (the “Entry Period”) using the #LoveONTFood hashtag, as well as have submitted a RSVP with twitter handle and URL to link list provided on the host website. The submitted tweet must comply with the Tweet content restrictions set out in these Official Rules.

b. Entry: By entering you agree that your entry conforms to the conditions provided above and that Administrator may disqualify you from the contest if it believes, in its sole discretion that your entry fails to conform. Entries must be submitted during the Entry Period. There is no limit to the number of entries and each tweet constitutes a single entry. Only entries submitted during the Entry Period will be considered.

c. Contest Administrator’s time clock is the official clock for this contest.

7. PRIZES:

a. Prizes are available to residents of Ontario (Canada) only. The prizes consist of Three (3) prize packs from Foodland Ontario partners + Five (5) $50 Sobeys Gift Cards + One (1) $250 Sobeys Gift Card Grand Prize. Packages will be mailed to the winners within 4-6 weeks after the party.

b. All Prizes are non-transferable, with no cash redemptions, equivalents or substitutions except at Sponsor’s sole and absolute discretion. Prize details and availability are subject to change. The Sponsor reserves the right, at its sole and absolute discretion and for any reason, to award a substitute prize of equal or greater value, including without limitation, a cash award. Unclaimed prizes will not be awarded. There is a limit of one (1) prize per person, Twitter account and household. Odds of winning are based on the number of tweets received during the Entry Period.

c. Prizes will be awarded using a random drawing, which will be conducted by the Administrator at their offices within 24 hours of the end of the Entry Period. Potential winners will be notified via twitter of their winnings. Potential winners must respond within 24 hours with shipping information and phone number, must confirm their eligibility (including by providing such information as the Administrator may request to confirm such eligibility) and must successfully answer a mathematical skill-testing question in order to be declared a winner. If a potential winner does not respond, confirm eligibility, or answer the skill-testing question correctly, an alternate winner will be chosen from valid entries.

d. Prizes are shipped directly from Sponsor and winner is not responsible for shipment of prizing, shipping fees, or insurance. The Sponsor will make reasonable efforts to ensure your prizes are delivered within 30 days but is not liable for non-receipt for any reason after 90 days.

8. Entrant’s Personal Information. Your personal information will be used for prize fulfillment only and for no other use or intention.

9. Entries generated by script, macro, robotic, programmed, or any other automated means are prohibited and will be disqualified. The Administrator and Sponsor will not be responsible for late, lost, illegible, falsified, damaged, misdirected, mutilated, garbled or incomplete entries, which will be void. All entries become the property of the Administrator upon receipt and none will be returned.

10. Tweet Content Restrictions:

The Tweet Submission must not contain material that violates or infringes another’s rights, including but not limited to privacy, publicity or intellectual property rights, or that constitutes copyright infringement;

The Tweet Submission must not disparage the Sponsor, Administrator or any other person or party affiliated with the Contest;

The Tweet Submission must not contain brand names, tradenames, trademarks or any other third party identifying marks, other than those owned by the Sponsor, which entrant has a limited license to use to incorporate in his/her Submission in this Contest;

The Tweet Submission must not contain images or artwork not created by entrant;

The Tweet Submission must not refer to third parties without their express permission;

The Tweet Submission must not contain material that is inappropriate, indecent, obscene, hateful, tortuous, defamatory, slanderous or libelous, or in the sole discretion of the Sponsor not in good taste;

The Tweet Submission must not contain material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age; and the Tweet Submission must not contain material that is unlawful, in violation of or contrary to the laws or regulations in any province where Submission is created.

11. The Administrator and the Sponsor are not responsible for any lost, misdirected or late entries, or contest documents, or any problems or technical malfunctions of any telephone network or lines, computer online systems or servers, computer software problems or traffic congestion on the internet or at any website and assume no liability for damage to entrant’s or any person’s computer or other device, resulting from participating in the Contest. The Administrator or Sponsor may conduct investigations as relates to the contest, and entrants agree to cooperate in such respect. In the event of a dispute as to the identity of a winner based on a Twitter account, the winning entry will be deemed to have been made by the authorized account holder of the Twitter account at the time of entry. “Authorized account holder” is the natural person who is assigned a Twitter account. By participating in the contest, Entrants release and agree to hold harmless the Administrator and Sponsor and their respective parent companies, affiliates or related companies, directors, employees, officers and agents, including without limitation, their advertising/promotion agencies from any and all liability, injury, loss, or damage of any kind, including but not limited to personal injury or death, arising from or in connection with participation in the contest, or the awarding, receipt, possession, use or misuse of any prize and/or with respect to participation in any prize-related activity. The “#HolidaysHappenHere Twitter Party” Contest (the “Contest”) begins on November 26th, 2014 at 8:00 PM Eastern Time (“ET”) and ends on November 26th 2014 at 9:00 PM ET (the “Contest Period”).

ELIGIBILITY:

Contest is open to all legal residents of Canada, excluding Québec, who have reached the legal age of majority in their province/territory of residence at the time of entry, except employees, representatives or agents (and those with whom such persons are domiciled or directly related) of Home Depot of Canada Inc. (“Prize Supplier”),  Transcontinental Media G.P. The Entry must not:

  7. refer to any person or organization without their prior express written permission.

By participating in this Contest and by submitting an Entry, you hereby grant an exclusive, worldwide, perpetual, irrevocable, fully paid-up, royalty-free, fully sublicenseable and transferable right and license to the Sponsor to use the Entry at their entire discretion, including without limitation the right to edit or modify the Entry for commercial or promotional purposes without any compensation whatsoever owed to you. You also waive all moral rights you may hold in or to your Entry to the extent required for the license granted hereunder.

Entry Limitations and Restrictions

There is a limit of submitting Entries from one (1) Twitter account per email address permitted during the Contest Period.  For greater certainty, you can submit multiple entries, using one (1) Twitter account, associated with one (1) email address to enter the Contest.  The sole determinant of time for the purposes of a valid Entry during the Contest Period will be the Contest’s server machine(s).

Entry Verification and Entry Rejection

All Entries are subject to verification at any time and for any reason.  The Sponsor reserves the right, in itssole and absolute discretion, to require proof of identity of entrant and/or eligibility of its Entry, (in a form acceptable to the Sponsor – including, without limitation, government issued photo identification) for the purposes of administering this Contest in accordance with these Rules.  Failure to provide such proof to the satisfaction of the Sponsor in a timely manner may result in disqualification in the sole and absolute discretion of the Sponsor.

If it is discovered by the Sponsor (using any evidence or other information made available to or otherwise discovered by the Sponsor) that any person has attempted to: [(i) use (or attempt to use) multiple names, identities, email addresses, accounts and/or any automated, macro, script, robotic or other system(s) or program(s) to enter or otherwise participate in or disrupt this Contest;] (ii) not respect these Rules and/or (iii) behave in a manner that otherwise undermines the integrity, fairness or administration of the Contest, then he/she may be disqualified from the Contest in the sole and absolute discretion of the Sponsor.

In the event of a dispute regarding who submitted an Entry, Entries will be deemed to have been submitted by the authorized account holder of the Account and the email address submitted at the time of entry.  “Authorized account holder” is defined as the person who is assigned an email address by an internet provider, online service provider, or other organization (e.g. business, educational institute, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.

Your Entry may be rejected if (in the sole and absolute discretion of the Sponsor) your Entry is incomplete or is not submitted and received during the Contest Period or is otherwise in breach with the terms and conditions set out in these Rules.  The Released Parties (defined below) are not responsible for late, lost, misdirected, delayed, incomplete or incompatible Entries, all of which will be void and rejected. WINNER SELECTION:

On November 26, 2014 (the “Draw Date”) at the offices of Listen to Lena, Toronto, Ontario at approximately 8:00 PM, seven (8) eligible entrants will be selected by random draw from among all eligible Entries submitted and received during the Contest Period in accordance with these Rules.  The odds of winning depend on the number of eligible Entries submitted and received during the Contest Period in accordance with these Rules.

The Sponsor or a designated representative will make a minimum of one (1) attempt to contact the selected entrant via Twitter Direct Message, within seven (7) business days of the Draw Date.  If the selected entrant cannot be contacted within seven (7) business days of the Draw Date, or if there is a return of any notification as undeliverable; then he/she may, in the sole and absolute discretion of the Sponsor, be disqualified (and, if disqualified, will forfeit all rights to the Prize) and the Sponsor reserves the right, in their sole and absolute discretion and time permitting, to randomly select an alternate eligible entrant from among the remaining eligible Entries (in which case the foregoing provisions of this section shall apply to such newly selected entrant).

Before being declared THE CONFIRMED PRIZE winner, the selected entrant will be required to: (a) correctly answer a mathematical skill-testing question without mechanical or other aid; and (b) sign and return within seven (7) business days of receipt of the declaration and release form for the benefit of the Released Parties (the “Release Form”) confirming namely (i) compliance with these Rules; (ii) acceptance of the Prize as awarded; (iii) assignment of all of designated entrant’s right and title in or to the Entrant Material and (iv) releasing the Released Parties from all liability in relation to this Contest. GENERAL CONDITIONS:

All Entries become the property of the Sponsor. This Contest is subject to all applicable federal, provincial and municipal laws.  The decisions of the Sponsor with respect to all aspects of this Contest are final and binding on all entrants without right of appeal, including, without limitation, any decisions regarding the eligibility/disqualification of Entries and/or entrants.  By participating in this Contest, you are agreeing to be legally bound by the terms and conditions of these Rules. Prior to awarding the Prize, selected entrants will be required to complete a release and declaration form within ten (10) days of being selected as a potential winner. Potential winners will be notified on Twitter by @Listen2Lena once their name has been drawn from eligible entries. If the potential winner cannot be contacted, or does not comply with these Official Rules, or the prize is returned as undeliverable, the potential winner forfeits the prize. If the potential winner is disqualified for any reason, the prize may be awarded to an alternate prize winner selected at random by Sponsor, if any, in Sponsor’s sole discretion and without any liability to such disqualified potential winner. Only two alternate winners may be determined, after which the applicable prize will remain unawarded. 4. Submission Entry Period. Entrants may make submissions via twitter following guidelines outlined in How to Enter (“Entry”) between the hours of 8:00pm and 9:00pm EST on April 25th, 2017. Date and time can change based on twitter’s status. If date and time are changed entrants will be notified via twitter using appropriate hashtag, i.e. #MottsRolls

5. How to Enter:
a. Submissions: To enter the Twitter Party entrants must submit a tweet during official party hours of 8:00pm and 9:00pm EST on April 25th, 2017 using the #MottsRolls hashtag
b. Entry: By entering you agree that your Submission conforms to the conditions provided above and below;
To enter the Contest, you must have a valid Account. If you do not have an Account, visit www.twitter.com and register in accordance with the enrolment instructions for a free Account.

b. In addition, eligible entrants (see above) must become a “follower” (the “Follower(s)”) of the two (2) Twitter accounts (each, a “Contest Account”) that correspond to the following @usernames: @LifeMadeDelish and @Listen2Lena (collectively referred as “@Contestusernames”). Note: you can un-follow any time after the Contest.
To become a Follower, an eligible entrant must: (i) visit www.twitter.com/LifeMadeDelish / www.twitter.com/Listen2Lena ; OR (ii) from his/her Twitter home page, click on the “Find People” tab and perform a search for “@LifeMadeDelish” / “@Listen2Lena” (as applicable); AND (iii) click on the “Follow” button corresponding to the applicable Contest Account.

c. To enter, log into your Account and monitor the Contest Accounts for a tweet that will be tweeted from the Contest Accounts prior to each Selection Period. Next, send a reply tweet (each, a “Reply Tweet”) to the Theme Tweet using your Account during the corresponding Selection Period. If your Reply Tweet is submitted and received in compliance with these Official Contest Rules (as determined by the Moderator), you will be eligible to receive one (1) entry (an “Entry”) into the applicable Draw (defined below) that corresponds to the applicable Selection Period.

To be eligible, your Reply Tweet must:
i. include your personal, unique and original response on the topic of the corresponding Theme;
ii. be in accordance with the Submission Requirements listed below in Rule 4;
iii. include the following hashtag: #MottsRolls and the Contest user names of @Listen2Lena
iv. comply with the Twitter Terms of Service and Twitter Rules available at www.twitter.com; and
v. conforms to Twitter’s (140) character limitation, including the Hashtag #MottsRolls and @LifeMadeDelish & @Listen2Lena

e. Any Reply Tweet that does not follow the above format (as determined by Moderator and/or Sponsor in its sole and absolute discretion) will be discarded and will not be eligible for entry in this Contest.

f. A Reply Tweet will be considered to be void (and an Entry will not be granted) if the Reply Tweet: (i) does not describe and/or discuss the applicable party theme (as determined by Moderator in its sole and absolute discretion) during the applicable Selection Period; (ii) is incomplete or illegible; (iii) is not submitted and received during the applicable Selection Period in accordance with these Official Contest Rules (the “Rules”); (iv) does not include the Hashtags; (v) does not include at minimum the following @Contestusername of @Listen2Lena & @LifeMadeDelish; (vi) does not conform to Twitter’s (140) character limitation including the Hashtags; (vii) does not comply with the Twitter Terms of Service and Twitter Rules; and/or (viii) is not in accordance with the specific Submission Requirements listed below in Rule 4 (all as determined by Moderator and/or Sponsor in its sole and absolute discretion).

g. Standard text messaging and/or data rates apply to entrants who submit a Reply Tweet via a wireless mobile device. Wireless service providers may charge for airtime for each standard text message sent and received. Please call your service provider for pricing and service plan information and rates before mobile device participation.

h. You can only use one (1) e-mail address/Account to enter the Contest. Limit of one (1) Reply Tweet (Entry) per person/e-mail address/Account per Selection Period, with a total limit of six (6) Reply Tweets per person/e-mail address/Account throughout the Entry Period. If it is discovered that any person has attempted to: (i) submit more than one (1) Reply Tweet (Entry) per person/e-mail address/Account per Selection Period; (ii) obtain more than one (1) Entry per person/e-mail address/Account per Selection Period; and/or (iii) use (or attempt to use) multiple names, identities and/or more than one (1) e-mail address or Account to enter the Contest; then (in the sole and absolute discretion of the Moderator and/or Sponsor) he/she may be disqualified from the Contest and all of his/her Reply Tweets and Entries voided. Use (or attempted use) of multiple names, identities, e-mail addresses, Accounts and/or any automated, macro, script, robotic or other system(s) or program(s) to enter or otherwise participate in or disrupt this Contest is prohibited and is grounds for disqualification by the Moderator and/or Sponsor. The Releasees (defined below) are not responsible for late, lost, misdirected, delayed, incomplete or incompatible Reply Tweets (all of which are void). All Reply Tweets (Entry) will be collected using a third party social listening tool and, without limiting the generality of the foregoing, the Releasees will not be responsible if any Reply Tweet (Entry) is not detected and/or collected.

i. If any entrant provides more than one (1) Reply Tweet for any given Selection Period, only his/her first Reply Tweet will be considered for the purposes of this Contest.

j. IN NO EVENT AND UNDER NO CIRCUMSTANCES WILL ANY PERSON/FOLLOWER BE PERMITTED TO OBTAIN MORE THAN THE MAXIMUM NUMBER OF ENTRIES AS STATED IN THESE RULES.

k. All entrants, Reply Tweets and Entries are subject to verification at any time. The Sponsor reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Sponsor – including, without limitation, government issued photo identification): (i) for the purposes of verifying an individual’s eligibility to participate in this Contest; (ii) for any other reason the Moderator and/or Sponsor deems necessary, in its sole and absolute discretion, for the purposes of administering this Contest in accordance with these Rules. Failure to provide such proof to the complete satisfaction of the Moderator and/or Sponsor within the timeline specified by the Moderator and/or Sponsor may result in disqualification in the sole and absolute discretion of the Moderator and/or Sponsor.
The Releasees will not be responsible for any social media service lag time and screenshots will not be accepted as proof of Reply Tweet delivery.

SUBMISSION REQUIREMENTS:

THE RELEASEES (DEFINED BELOW) WILL BEAR NO LEGAL LIABILITY REGARDING THE USE OF ANY REPLY TWEET (ENTRY) YOU SUBMIT. THE RELEASEES (DEFINED BELOW) SHALL BE HELD HARMLESS BY YOU IN THE EVENT IT IS SUBSEQUENTLY DISCOVERED THAT YOU HAVE DEPARTED FROM OR NOT FULLY COMPLIED WITH ANY OF THESE RULES.

Without limiting the generality of the requirements noted above, to be eligible for entry in this Contest, any Reply Tweet (Entry) you submit must be your personal and original response on the topic of the applicable Theme (i.e. you cannot Retweet someone else’s answer or submit the same answer more than one time in this Contest). Your Reply Tweet (Entry) must be written in English only.

By submitting a Reply Tweet (Entry), each entrant warrants and represents that such Reply Tweet (Entry):

does not violate any law;

By entering the Contest and submitting a Reply Tweet (Entry), each entrant: (i) without limiting the Twitter Terms of Service, grants to the Sponsor and/or Moderator (and others authorized by the Sponsor), in perpetuity, a non-exclusive license to publish, display, reproduce, modify, edit or otherwise use his/her Reply Tweet (Entry), in whole or in part, for advertising or promoting the Contest or for any other reason; (ii) waives all moral rights in and to his/her Reply Tweet (Entry) in favour of the Contest Parties; and (iii) agrees to release and hold harmless the Contest Parties and each of their respective agents, employees, directors, successors, and assigns (collectively, the “Releasees”) from and against any and all claims based on publicity rights, defamation, invasion of privacy, copyright infringement, trade-mark infringement or any other cause of action that relate in any way to his/her Reply Tweet (Entry). ELECTRONIC COMMUNICATIONS:

By submitting Reply Tweet to the Contest as described above, each entrant agrees to communicate with the Sponsor and Moderator electronically and agrees that his/her act of submitting a Reply Tweet (Entry) in this Contest constitutes his/her agreement to be legally bound by these Rules and by the interpretation of these Rules by the Sponsor and Moderator at their sole and absolute discretion. ENTRY CONTENT RESTRICTIONS (collectively, the “Guidelines and Restrictions”).

Tweet Content Restrictions:

The Tweet Submission must not contain material that violates or infringes another’s rights, including but not limited to privacy, publicity or intellectual property rights, or that constitutes copyright infringement;

The Tweet Submission must not disparage the Sponsors, Administrator or any other person or party affiliated with the Contest;

The Tweet Submission must not contain brand names, tradenames, trademarks or any other third party identifying marks, other than those owned by the Sponsors, which entrant has a limited license to use to incorporate in his/her Submission in this Contest;

The Tweet Submission must not contain images or artwork not created by entrant;

The Tweet Submission must not refer to third parties without their express permission;

The Tweet Submission must not contain material that is inappropriate, indecent, obscene, hateful, tortuous, defamatory, slanderous or libelous, or in the sole discretion of the Sponsor not in good taste;

The Tweet Submission must not contain material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age; and the Tweet Submission must not contain material that is unlawful, in violation of or contrary to the laws or regulations in any province where Submission is created.

Entry into the Contest constitutes an entrant’s consent to give the Sponsors a royalty free, irrevocable, perpetual, non-exclusive license to use, reproduce, modify, publish, create derivative works from, and display such submissions in whole or in part, on a worldwide basis, and to incorporate it into other works, in any form, media or technology now known or later developed, including for promotional or marketing purposes. Without limiting the foregoing, entrants waive all moral rights and assign all copyright in their Submission, and covenant, represent and warrant that the contest entrant has the right to refer to any third party referred to in the Submissions.

PRIZES:

Two (2) Prizes are available to be won. Each prize has a retail value of approximately $100 CDN.

Prize must be accepted as awarded, is not transferable or convertible to cash. The sponsors reserve the right to substitute a prize or prize component for one of equal or greater value for any reason.

CONTEST DRAWS: PRIZES: A random draw for the Prize outlined above will be conducted in Toronto, Ontario on or about February 9, 2015 from amongst all eligible online entries received. Odds of winning depend on the total number of eligible entries received. In order to win, the selected entrants must first correctly answer a time-limited mathematical skill-testing question to be administered by e-mail. Selected entrants must also complete a Declaration and Release and return same to the specified address and within the specified time period that confirms each selected entrant’s (a) Eligibility for the Contest and compliance with these Contest rules; (b) acceptance of the Prize as offered; (c) release of each of the Released Parties and Twitter, from any and all liability for any loss, harm, damages, cost or expense arising out of participation in the Contest, participation in any Contest related activity or the acceptance, use, or misuse of any Prize, including but not limited to costs, injuries, losses related to personal injuries, death, damage to, loss or destruction of property, rights of publicity or privacy, defamation, or portrayal in a false light, or from any and all claims of third parties arising therefrom; and grant to the Sponsor the unrestricted right, in the Sponsors’ collective or individual discretion, to produce, reproduce, publish, broadcast, communicate by telecommunication, exhibit, distribute, adapt, modify, and otherwise use or re-use the Winner’s name, photograph, address (City and province), likeness, voice, Submission, and biography, in any and all media now known or hereafter devised, in connection with the Contest and the promotion and exploitation thereof or for other purposes, without any notice, payment, notification, permission or other consideration, whatsoever . The executed Release must be returned within the specified time period or the selected entrant will be disqualified and the Prize forfeited, without any liability to Sponsors whatsoever.

Potential winners will be notified on Twitter by @Listen2Lena once their name has been drawn from eligible entries. If the potential winner cannot be contacted, or does not comply with these Official Rules, or the prize is returned as undeliverable, the potential winner forfeits the prize. If the potential winner is disqualified for any reason, the prize may be awarded to an alternate prize winner selected at random by Sponsor, if any, in Sponsor’s sole discretion and without any liability to such disqualified potential winner. Only two alternate winners may be determined, after which the applicable prize will remain unawarded. Without limiting the generality of these Official Rules, winner shall irrevocably grant, transfer, convey and assign to Sponsor the entirety of the rights in and to the Submission, including moral rights, and all renewals and extensions of copyright, and the right to secure copyright registrations thereto in perpetuity including, without limitation, the rights to use the Submission for any and all purposes in any and all media whether now known or hereafter developed, on a worldwide basis, in perpetuity. The winner accepts and acknowledges that Sponsor shall not be obligated to use the Submission and that Sponsor in its sole discretion shall have the right to refrain from using the Submission. Sponsor shall not incur any liability whatsoever to the extent Sponsor chooses to refrain from any exploitation of its rights hereunder. Winner will indemnify Sponsor, Released Parties and any licensee of Sponsor against all claims, damages, liabilities, and expenses (including reasonable counsel fees and legal expenses) arising out of any breach of these terms. Prizes will be sent by mail 6-8 weeks after winner determination by e-mail and potential prize winner will be required to sign and return a declaration of eligibility and a liability/publicity release within ten (10) business days of notification. If a selected potential prize winner cannot be contacted by e-mail, fails to correctly answer the skill- testing question, or fails to return the Contest documents within the specified time, he/she will forfeit their prize and an alternate winner will be randomly selected without any liability to the Sponsor whatsoever. Decisions by the Sponsor will be final. Sponsor shall have no responsibility for any printing, distribution, production, prizing, or similar types of errors.

GENERAL: This Contest governed by the laws of Ontario without resort to conflict of law provisions. By entering the Contest, participants agree to be bound by these official rules and by the decisions of the independent administration and judging organization, which shall be final and binding with respect to all matters relating to this Contest. All entries become the property of the Sponsor and none will be returned. By completing the entry form, all entrants consent to the collection, use and distribution of their personal information by the Sponsor for the purposes of running the Contest. Sponsor will not sell or transmit this information to third parties except for the purposes of administering the Contest. The Sponsor and/or its affiliates may use the personal information of those contest entrants who provide such consent by checking the opt-in permission box on the contest entry form for the future distribution of any of Sponsor’s or its affiliates contests, promotions and product news.

The Sponsor reserves the right in its sole discretion, to terminate, suspend or amend contest without liability subject to applicable laws. If for any reason, the online portion of this Contest is not capable of being completed as planned including, but not limited to computer virus, bugs, tampering, technical failures or other causes beyond the control of the Sponsor, the Sponsor reserves the right, in its sole discretion, to cancel or suspend this Contest or to modify the Contest rules. Any attempt to deliberately damage any website or to undermine the legitimate operation of this Contest is a violation of criminal and civil laws, and should such an attempt be made, Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution.
